Terms and Conditions – YESHLY

Article 1 – Definitions

Throughout these Terms and Conditions, the following terms shall have the meanings ascribed to them:

  • Ancillary Contract: Refers to any supplementary agreement where the Consumer acquires products, digital content, or services in connection with a Distance Contract, which are supplied by YESHLY or a third party based on an arrangement with YESHLY.
  • Grace Period: The designated period allowing the Consumer to exercise their right of withdrawal.
  • Consumer: An individual person engaging in a contract with YESHLY for purposes unrelated to their trade, business, or profession.
  • Day: A standard calendar day.
  • Digital Content: Any data or materials that are produced and delivered in a digital format.
  • Ongoing Contract: An agreement for the regular or continuous delivery of products or services over a specified period.
  • Durable Medium: Any tool, including email, that enables the Consumer or YESHLY to store information personally addressed to them for future reference in a way that allows for unaltered reproduction.
  • Right of Withdrawal: The Consumer's legal right to cancel a Distance Contract within the defined Grace Period.
  • Model Form: The standard withdrawal form made available by YESHLY for Consumers to use if they choose to exercise their right of withdrawal.
  • Entrepreneur / YESHLY: The legal entity, klystro LLC, offering products, digital content, and/or services to Consumers from a distance.
  • Distance Contract: An agreement established through YESHLY's organized digital system for remote sales, concluded without the simultaneous physical presence of YESHLY and the Consumer.
  • Means of Distance Communication: Any technology used to facilitate the conclusion of a contract without both parties being physically present at the same time.
  • General Terms and Conditions: The present Terms and Conditions of YESHLY.

Article 3 – Applicability

The scope of these General Terms and Conditions extends to all offers made by YESHLY and to every Distance Contract and transaction concluded between YESHLY and a Consumer.

Before any Distance Contract is finalized, the text of these Terms and Conditions will be made available to the Consumer. If providing the full text is not reasonably possible, YESHLY will indicate where the Terms can be viewed electronically and confirm that a copy will be sent free of charge at the Consumer's request.

For contracts concluded electronically, these Terms will be supplied in a digital format that the Consumer can easily save for their records.

Should any provision of these Terms be found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be replaced by a valid provision that most closely reflects the original intent.

Article 4 – The Offer

If an offer is subject to a limited period of validity or specific conditions, this will be explicitly mentioned in the offer's description.

All offers presented by YESHLY are non-binding. YESHLY retains the right to modify or withdraw its offers at any time.

YESHLY is dedicated to providing descriptions and images that are as accurate as possible. However, all descriptions, specifications, and images are indicative. Minor deviations or errors do not form a basis for compensation or contract termination.

Each offer will contain clear information so that the Consumer understands their rights and obligations. This includes details on the total price with taxes, shipping costs, payment methods, and delivery terms.

Article 5 – The Contract

A contract is officially concluded at the moment the Consumer accepts the offer and complies with all associated conditions.

For contracts made electronically, YESHLY will promptly send an electronic confirmation of receipt of the acceptance. The Consumer may dissolve the contract if this confirmation has not been issued.

YESHLY employs appropriate technical and organizational security measures to protect electronic data transfer and ensure a secure payment environment.

YESHLY reserves the right, within legal frameworks, to assess a Consumer's ability to meet their payment obligations. Based on this assessment, YESHLY may refuse an order or attach special conditions to it.

Article 6 – Right of Withdrawal

Consumers may cancel a product purchase within 30 days of receipt without providing a reason. This period begins on the day after the Consumer receives the final item of their order.

During this reflection period, the Consumer must treat the product and its packaging with care. To exercise the right of withdrawal, the Consumer must inform YESHLY within the 30-day period and return the product within 30 days of that notification.

Article 7 – Costs of Withdrawal

The Consumer is responsible for the direct costs associated with returning the product, unless the item was defective or incorrect upon arrival. YESHLY will refund the purchase price within 10 business days of receiving the returned item, using the original payment method.

Article 8 – Exclusion of the Right of Withdrawal

The right of withdrawal is excluded for custom-made or personalized products, perishable goods, items with broken hygiene seals, and digital content that has been downloaded.

Article 9 – Prices

During the validity period stated in an offer, prices will not be increased, except for changes due to tax regulations (e.g., VAT). All prices are listed in U.S. dollars and exclude any applicable customs duties or import taxes, which are the responsibility of the customer.

Article 10 – Warranty and Conformity

YESHLY warrants that all products and services are in conformity with the contract and meet reasonable standards of quality and usability. The consumer must report any defects within four weeks of discovery. This warranty does not cover damage resulting from improper handling, misuse, or unauthorized alterations by the Consumer.

Article 11 – Delivery and Fulfillment

YESHLY is committed to exercising the greatest possible care when processing and fulfilling orders. Delivery will be made to the address provided by the Consumer. While orders are typically processed in 1-3 business days and delivered in 5-7 business days, if a delivery is delayed beyond 30 days, the Consumer has the right to cancel the order.

Article 12 – Duration, Termination, and Renewal

A Consumer may terminate an ongoing contract at any time, subject to a notice period of one month. Fixed-term contracts are not automatically renewed without the Consumer's explicit consent.

Article 13 – Payment

Payment is due within 7 business days of concluding the contract, unless otherwise specified. The Consumer is obligated to report any inaccuracies in their provided payment data to YESHLY immediately.

Article 14 – Complaints Procedure

Complaints must be submitted in writing with a clear description of the issue to contact@yeshly.com. YESHLY aims to respond within 3 business days.

Article 15 – Governing Law

These Terms and all agreements between YESHLY and the Consumer shall be governed exclusively by the laws of the United States.

Article 16 – Additional Provisions

Any additional provisions or deviations from these terms must not be to the Consumer's detriment and should be documented in writing or on a durable medium.

Article 17 – Acceptance of Replacement Items

If a Consumer accepts a complimentary replacement item (e.g., for a size correction), they waive the right to return that specific replacement item, as the cost has been absorbed by YESHLY.

Article 18 – Payment Obligation

Placing an order confirms your obligation to pay. A refund or chargeback initiated with a payment provider does not negate this obligation. YESHLY reserves the right to reclaim payments that are reversed without a valid reason under these Terms.

Article 19 – Reshipment Rights

YESHLY reserves the right to reship a product in cases of shipping errors, defects, or incorrect return processing to fulfill the original order.

Article 20 – Promotional Offers

All promotional offers are non-binding and subject to change. The terms, duration, and conditions of each offer will be clearly stated.

Article 21 – CESOP Compliance

In accordance with the Central Electronic Payment Information System (CESOP) regulations, payment service providers may be required to record and report certain cross-border transaction data to tax authorities for compliance purposes.
